POSTPONEMENT - CfSWP Annual General Meeting - 15th May 2020
May I first of all send you my warmest good wishes, and say how very much we as Trustees are aware of the challenges that many of you will be facing and how concerned we are for your well being at this difficult time.
I’m also aware that what follows will come low down on your list of concerns, but I needed to let you know that we shall no longer be holding an AGM as planned on May 15th (the date agreed at the AGM last year).
Jenni Connell and I have been working on the details of the legacy fund, but these negotiations, plus finalising the charity accounts and of course the impact of the virus on these processes mean that we are not as far forward as we would have liked. We hope to be in a position to ask the trustees to sign off the accounts at a virtual Trustee board meeting on May 15th (as we are informed by the Charity Commission is permissible) or as soon after this as possible. Meanwhile, we shall continue to pursue the business of winding up the charity and completing the arrangements for the establishment of the legacy fund, as agreed at the Special General Meeting in December last year and which I wrote to you about just before Christmas last year.
However, under the terms of our constitution we are required to hold an AGM within fifteen months of the previous one, so should the latter business not have been concluded in time, we shall need to hold an AGM by the middle of August.
I am hopeful that this will not be necessary, but if it looks likely that we shall need to do this, I shall write to you to give notice of this in a few weeks time.
